A) GUIDALIA S.R.L., an innovative start-up, with registered office at via Livorno 54/2, 50142 – Firenze (ITA), tax code / VAT no. (C.F. / P. IVA) 07560660487, REA FI-712067 (hereinafter the «Operator»), operates the online platform called “GUIDALIA” (hereinafter the «Platform») and sells on the website https://guidalia.com gift vouchers in euro that can be used on the Platform for Guide Services (hereinafter the «Gift cards»).

B) These general terms and conditions (hereinafter the «Gift card Terms») govern the purchase, redemption and use of Gift cards and are also drafted in accordance with Legislative Decree no. 206 of 6 September 2005 («Consumer Code»). For anything not provided for here, the General Terms of Use of the Platform for Travellers apply, available at https://guidalia.com/legal/terms (hereinafter the «Traveller Terms»), whose capitalised terms have the same meaning here. In case of conflict, these Gift card Terms prevail as regards Gift cards.

In view of the above, which forms an integral and essential part of these Gift card Terms, the following is agreed.

Art. 1 – Definitions

1.1 For the purposes of these Gift card Terms, the terms below have the meaning given to them in this article, in both the singular and the plural:

a) «Buyer»: whoever buys a Gift card on the website https://guidalia.com;

b) «Beneficiary»: whoever redeems the Gift card in the Guidalia app, who may be the recipient named by the Buyer, the Buyer themselves or any other holder of the Code;

c) «Code»: the alphanumeric code that identifies the Gift card;

d) «Gift balance»: the amount in euro credited to the Beneficiary's Account when one or more Gift cards are redeemed, usable for Guide Services;

e) «Manage link»: the personal link sent to the Buyer with the purchase confirmation e-mail, with which the Buyer can check the status of the Gift card and exercise the right of withdrawal.

Art. 2 – Nature and permitted use of the Gift card

2.1 The Gift card is a multi-purpose voucher, expressed in euro, usable exclusively on the Platform to pay for Guide Services, private or shared, offered by the Guides on the Platform.

2.2 The Gift card and the Gift balance cannot be used to buy Credits, Trip passes or other services based on artificial intelligence, nor for extras (for example extending the time of a private Guide Service) or for live audio with real-time translation, which remain charged to the Traveller's payment card under the Traveller Terms.

2.3 The Service Contract remains concluded directly and exclusively between the Guide and the Traveller, under art. 2.2 of the Traveller Terms; using the Gift balance does not change that role.

Art. 3 – Purchase

3.1 The Gift card is bought on the website https://guidalia.com by choosing one of the amounts shown on the purchase page. No Account is needed: before paying, the Buyer confirms their e-mail address by entering the verification code sent to that address.

3.2 Payment is made by payment card through the authorised payment service provider Stripe. The price of the Gift card equals its face value.

3.3 The purchase contract is concluded when the payment is completed. The Operator sends the Buyer a confirmation e-mail with the amount paid, the Code, the QR code, the expiry date, the Manage link and the date by which the right of withdrawal can be exercised.

3.4 The Buyer can give or share the Gift card with the recipient. Until the Gift card is redeemed, the Buyer can change the recipient's name, the message and the image of the Gift card from the Manage link.

Art. 4 – Validity and expiry

4.1 The Gift card is valid for 1 year from the date of purchase. The expiry date is shown in the confirmation e-mail, on the Gift card page and, after redemption, in the app.

4.2 The Gift card must be redeemed by the expiry date; the amount credited to the Gift balance can be used until the same date. Once the expiry date has passed, an unredeemed Gift card and any unused amount lapse and give no right to any refund or compensation, except as provided in art. 6.3 and by mandatory provisions of law.

4.3 The part of the Gift balance allocated to a Booking requested before the expiry date remains allocated to that Booking even if the Guide Service takes place after the expiry date.

Art. 5 – Redemption

5.1 The Gift card can be redeemed only in the Guidalia app, with an Account, by entering the Code, also starting from the Gift card link or QR code. It can be redeemed only once: the full value of the Gift card is credited to the Gift balance of the Account used to redeem it.

5.2 The Gift card is a bearer voucher: it can be redeemed by anyone who has the Code, even someone other than the recipient named by the Buyer. The recipient's name and the message have a purely personal value.

5.3 After redemption, the Gift balance is tied to the Beneficiary's Account and cannot be transferred to other Accounts.

Art. 6 – Use of the Gift balance

6.1 When a Booking of a Guide Service is requested, the available Gift balance is applied automatically to the price, starting from the amounts with the nearest expiry date; any difference is paid by card under art. 12 of the Traveller Terms. A payment card is nevertheless required for every Booking, even when the Gift balance covers the whole price, for the items listed in art. 2.2.

6.2 If a Booking is cancelled or a Guide Service paid in whole or in part with the Gift balance is refunded, the amount to be returned is credited first to the Gift balance and, for the remainder, to the payment card, under art. 13 of the Traveller Terms.

6.3 An amount credited back to the Gift balance keeps its original expiry date; if that date has already passed, the amount can be used for 90 days from the date it is credited back.

6.4 The available Gift balance and the next expiry date are shown in the app, in the Account section.

Art. 7 – Right of withdrawal

7.1 Under art. 52 of the Consumer Code, a Buyer who is a Consumer may withdraw from the Gift card purchase contract, without giving any reason, within 14 days from the date of purchase, provided the Gift card has not yet been redeemed.

7.2 The right of withdrawal is exercised from the Manage link, with the cancel and refund function. Alternatively, within the same period, the Buyer may send support@guidalia.com an explicit statement of their decision to withdraw, giving the Code and the e-mail address used for the purchase.

7.3 On withdrawal the Gift card is cancelled and can no longer be redeemed. The Operator refunds the full amount paid, at no cost to the Buyer, to the same card used for the purchase, without undue delay and in any case within 14 days of the withdrawal, under art. 56 of the Consumer Code. The time the refund takes to reach the card depends on the card issuer.

7.4 Redemption and withdrawal are mutually exclusive: once the Gift card has been redeemed, even before the 14 days have passed, its value is transferred to the Beneficiary's Gift balance and the right of withdrawal can no longer be exercised. After the 14-day period, withdrawal is no longer possible.

Art. 8 – No exchange for cash

8.1 Except in the cases in art. 7, the Gift card and the Gift balance cannot be refunded or exchanged for cash, in whole or in part, except where a refund is required by mandatory provisions of law. The credits back in art. 6.2 are not affected.

Art. 9 – Loss, theft and unauthorised use

9.1 The Code gives the right to the value of the Gift card. The Buyer and the recipient must keep it safe and share it only with the person the Gift card is meant for.

9.2 The Operator is not liable for a redemption made by someone who obtained the Code through loss, theft, forwarding or disclosure not attributable to the Operator.

9.3 If a Gift card that has not yet been redeemed is lost or stolen, the Buyer may report it without delay to support@guidalia.com, giving the Code; the Operator assesses the report and, if the Gift card has not yet been redeemed, takes the technically possible measures to prevent its use.

Art. 10 – Tax treatment

10.1 The Gift card is a multi-purpose voucher: its sale is outside the scope of VAT under art. 2, paragraph 3, letter a), of Presidential Decree (D.P.R.) 633/72 and artt. 12-14 of the Consolidated VAT Act (Testo unico IVA, D.Lgs. 10/2026).

10.2 VAT, where due, applies to the Guide Service when it is supplied; the invoice or other tax document for the Guide Service is issued by the Guide, under art. 12.3 of the Traveller Terms.

Art. 11 – Gift cards bought through the app stores

11.1 These Gift card Terms apply to Gift cards in euro sold on the website https://guidalia.com. Gift cards of Credit packs and Trip passes bought in the app through the App Store or Google Play are governed by the Traveller Terms and by the terms of the store where they were bought, including its refund policies; refund requests must be made to the store, under its rules.

11.2 If the store refunds a Gift card bought in the app that has not yet been redeemed, the Gift card is cancelled and can no longer be redeemed.

Art. 12 – Personal data protection

12.1 The personal data of the Buyer and the Beneficiary, including the Buyer's e-mail address, the recipient's name and the message, are processed by the Operator, as data controller, as described in the privacy notice available at https://guidalia.com/legal/privacy.

Art. 13 – Changes to the Gift card Terms

13.1 The Operator may change these Gift card Terms for justified reasons, such as changes in the law, technical changes to the Platform or the introduction of new services. Gift cards already bought remain governed by the version in force at the time of purchase, except for changes that are more favourable to the Buyer and the Beneficiary or required by law.

Art. 14 – Communications and complaints

14.1 Communications and complaints about Gift cards are sent to the e-mail address support@guidalia.com, in Italian or English. Communications to the Buyer are sent to the e-mail address given at the time of purchase.

Art. 15 – Governing law and competent court

15.1 These Gift card Terms are governed by Italian law, under articles 3 and 4 of Regulation (EC) No 593/2008 (“Rome I”).

15.2 For disputes with an Italian Consumer, the court of the Consumer's place of residence or domicile has exclusive jurisdiction, under art. 66-bis of the Consumer Code.

15.3 For any other dispute, the Court of Florence has exclusive jurisdiction.

15.4 The Consumer remains free to use alternative dispute resolution procedures.

15.5 These Gift card Terms are drafted in Italian; in case of discrepancy with any translation, the Italian version prevails, subject to mandatory consumer protection rules.

Specific approval of clauses

Pursuant to and for the purposes of articles 1341 and 1342 of the Italian Civil Code, the Buyer and the Beneficiary declare that they have read carefully and specifically approve the following clauses: art. 4.2 (expiry and lapse of the Gift card and the Gift balance); art. 5.2 (Gift card as a bearer voucher); art. 7.4 (no withdrawal after redemption); art. 8 (no exchange for cash); art. 9.2 (limitation of liability); art. 13 (changes to the Gift card Terms); art. 15.3 (competent court).
